By engaging CrystalJenix Technologies for any services (including software development, web architecture, AI integration, digital marketing, design, consulting, or any of our Service(s)), you (“Client”) agree to be bound by the following Terms and Conditions.

1. Payment Terms & Acceptance

• Deposit Requirement: Unless explicitly stated otherwise in a custom written proposal or promotional campaign, all projects operate on a 60/40 payment structure:
  • 60% upfront deposit required prior to project commencement.
  • 40% final balance due immediately upon project completion and prior to final delivery, site deployment, or source handoff.
• Implicit Agreement: Payment of the initial 60% deposit constitutes full and binding acceptance of these Terms and Conditions.

2. No-Refund & Remedy-First Policy

• All payments made to CrystalJenix Technologies (including initial deposits) are non-refundable.
• Remedy Mechanism: If you are dissatisfied with a deliverable or if a technical error occurs, CrystalJenix Technologies will review the issue and rectify, fix, or complete the service to align strictly with the agreed-upon project scope. We do not issue cash refunds under any circumstances; we fix and fulfill the work.

3. Scope of Work & Scope Creep

• Project parameters, milestones, and deliverables are defined in the initial invoice, contract, or agreed project proposal.
• Any feature, modification, design revision, or task requested outside the original scope will be treated as an add-on request. Additional work will be quoted separately and billed before implementation begins.

4. Client Communication & Project Delays

• Clients must provide necessary content, access credentials, feedback, and approvals in a timely manner.
• If a project is delayed by the Client for 30 consecutive days due to inaction, failure to communicate, or delayed deliverables, CrystalJenix Technologies reserves the right to pause the project. Re-activating a paused project may attract a restart fee.

5. Intellectual Property & Usage Rights

• Final Deliverables: Ownership of specific custom assets (e.g., custom graphics or client-specific code) transfers to the Client only after the final 40% balance is paid in full.
• Proprietary Tools & Licensing: Certain tools, proprietary code bases, frameworks, backend architectures, and third-party tools remain the sole intellectual property of CrystalJenix Technologies or their respective third-party licensors. For these assets, the Client receives a non-exclusive license for usage, not full ownership.
• Portfolio Rights: CrystalJenix Technologies reserves the right to feature completed projects, design concepts, and case studies in our portfolio, marketing materials, and social media platforms, unless a formal Non-Disclosure Agreement (NDA) has been signed prior to commencement.

6. Third-Party Costs & Transparency

• The Client is responsible for all third-party expenses necessary to run their digital infrastructure. This includes, but is not limited to: domain registrations, hosting servers, paid plugins, API subscriptions, and advertising spend.
• While CrystalJenix Technologies maintains transparency regarding project execution, proprietary technical workflows, trade secrets, and internal methodologies remain strictly confidential and will not be disclosed to the Client.

7. Post-Launch Maintenance & Support

• Upon final balance payment and project sign-off, the project is considered complete and delivered.
• Any subsequent updates, technical fixes, bug rectifications, security patches, or maintenance required after delivery will be billed as separate service requests, unless the Client is enrolled in an active, paid monthly retainer plan.

8. Limitation of Liability

• To the maximum extent permitted by law, CrystalJenix Technologies shall not be held liable for any indirect, incidental, consequential, or lost revenue damages resulting from the use or inability to use our services, server downtime, third-party software failures, or cyber incidents.
• Cap on Liability: The maximum cumulative financial liability of CrystalJenix Technologies for any claim arising out of a project shall not exceed the total amount actually paid by the Client for that specific project.

9. Governing Law

• These Terms and Conditions are governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to conflict of law principles.
• Any disputes that cannot be resolved amicably shall be submitted to the exclusive jurisdiction of the Nigerian courts, unless cross-border or international legal parameters specifically demand alternative proceedings.
